Terms of Service

1. The Service

ZetaLoop designs, builds, and operates custom AI automations for businesses. Services include but are not limited to:

• Lead research and enrichment: targeted prospect list building, contact sourcing, and CRM integration
• Document review: extraction of key terms, obligations, and risk flags from contracts, policies, and filings
• Data extraction: structured field extraction from unstructured documents and submissions
• Submission processing: inbound classification, criteria matching, and routing with structured summaries
• Company research: automated research briefs from public and internal sources, delivered to your deal room or CRM
• Workflow automation: any bespoke automation built around your data, systems, and processes as agreed in writing

The specific automations delivered to you are agreed in writing at the start of each engagement.

2. Your Responsibilities

• You are responsible for ensuring you have a lawful basis to process and contact individuals as part of your automations.
• You must not use ZetaLoop to send unsolicited communications to individuals with whom you have no legitimate business relationship.
• You are responsible for the accuracy of any data, documents, or contact lists you provide for processing.
• You grant ZetaLoop permission to access the tools and systems required to build and operate your automations, limited strictly to the scope needed to deliver the agreed service.
• You must not use the service for illegal purposes or in any way that violates applicable law.

3. Engagement and Billing

• Engagements are scoped and priced individually based on the automations agreed.
• Payment terms are set out in your engagement proposal. Invoices are due within the period stated on the invoice.
• Ongoing plans are billed monthly. You may cancel with 30 days' written notice. No refunds are issued for partial months already billed.
• We reserve the right to update pricing with 30 days' notice for ongoing engagements.

4. Intellectual Property

You retain full ownership of your business data, customer data, and any documents or records processed through your automations. ZetaLoop retains ownership of the underlying technology, automation frameworks, and proprietary tooling used to build and operate the service. You are granted a limited, non-transferable licence to use the outputs of your automations for the duration of your engagement.

5. AI Output Disclaimer

Our automations use AI to extract data, generate summaries, enrich records, and draft content. While we design these systems carefully, AI outputs may occasionally be inaccurate or incomplete. You are responsible for reviewing any AI-generated content before acting on it where material business decisions are involved. ZetaLoop is not liable for errors in AI-generated outputs where reasonable human review was available.

6. Limitation of Liability

The service is provided in good faith based on agreed specifications. To the maximum extent permitted by law, ZetaLoop is not liable for indirect or consequential losses including lost revenue, missed opportunities, or data loss arising from use of the service. Our total liability in any engagement is capped at the fees paid by you in the three months preceding the claim.

7. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the engagement. ZetaLoop will not disclose your automation configuration, business data, or customer data to third parties except as required to operate the service or as required by law.

8. Termination

Either party may end an ongoing engagement with 30 days' written notice. ZetaLoop may suspend or terminate access immediately in the event of a material breach of these Terms, non-payment, or use of the service in a manner that creates legal or reputational risk.

9. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
