Terms of Service

1. The Service

ZetaLoop designs, builds, and operates custom AI automations for businesses. Services include but are not limited to:

• Missed call capture and lead qualification via SMS and WhatsApp
• AI Native CRM: automatic contact management, deal tracking, and follow-up task creation from calls and emails
• AI email triage: inbox classification, automated replies, and escalation routing
• Invoice chasing: automated payment reminder sequences across email and SMS
• Lead generation: targeted prospect list building, enrichment, and personalised outreach
• Data extraction: structured field extraction from documents including PDFs, invoices, purchase orders, and contracts
• Data enrichment: contact and company record enrichment using third-party data sources
• Quote from brief: AI-generated proposals from free-text client briefs
• Purchase order processing: automated extraction, order creation, and buyer confirmation

The specific automations delivered to you are agreed in writing at the start of each engagement.

2. Your Responsibilities

• You are responsible for ensuring you have a lawful basis (such as legitimate interest or consent) to contact individuals via SMS, WhatsApp, or email as part of your automations.
• You must not use ZetaLoop to send unsolicited communications to individuals who have not opted in or with whom you have no legitimate business relationship.
• You are responsible for the accuracy of any contact lists, documents, or data you provide to ZetaLoop for processing.
• You grant ZetaLoop permission to access the tools and systems required to build and operate your automations (for example, email inboxes, accounting software, CRM systems, calendars), limited strictly to the scope needed to deliver the agreed automations.
• You must not use the service for illegal purposes, to harass individuals, or in any way that violates applicable law.

3. Engagement and Billing

• Engagements are scoped and priced individually based on the automations agreed.
• Payment terms are set out in your engagement proposal. Invoices are due within the period stated on the invoice.
• Ongoing retainer plans are billed monthly. You may cancel with 30 days' written notice. No refunds are issued for partial months already billed.
• We reserve the right to update pricing with 30 days' notice for ongoing engagements.

4. Intellectual Property

You retain full ownership of your business data, customer data, and any documents or records processed through your automations. ZetaLoop retains ownership of the underlying technology, AI models, automation frameworks, and proprietary tooling used to build and operate the service. You are granted a limited, non-transferable licence to use the outputs of your automations for the duration of your engagement.

5. AI Output Disclaimer

Our automations use AI to generate replies, extract data, enrich records, and draft outreach. While we design these systems carefully, AI outputs may occasionally be inaccurate or incomplete. You are responsible for reviewing any AI-generated content before acting on it where material business decisions are involved. ZetaLoop is not liable for errors in AI-generated outputs where reasonable human review was available.

6. Limitation of Liability

The service is provided in good faith based on agreed specifications. To the maximum extent permitted by law, ZetaLoop is not liable for indirect or consequential losses including lost revenue, missed opportunities, or data loss arising from use of the service. Our total liability in any engagement is capped at the fees paid by you in the three months preceding the claim.

7. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the engagement. ZetaLoop will not disclose your automation configuration, business data, or customer data to third parties except as required to operate the service or as required by law.

8. Termination

Either party may end an ongoing engagement with 30 days' written notice. ZetaLoop may suspend or terminate access immediately in the event of a material breach of these Terms, non-payment, or use of the service in a manner that creates legal or reputational risk.

9. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
